These Terms of Service set forth the conditions of use for "Gungi," an AI development process management platform, and all associated services (collectively, the "Service") provided by Symon Brain, Inc. (the "Company").

By commencing use of the Service—including installing the GitHub App, creating an account, or initiating API usage—the User is deemed to have agreed to these Terms.

The Service is a SaaS platform that provides functionality including automation of AI development workflows through GitHub integration, phasechain management, and unified control of AI agents.

Registration for the Service is conducted through GitHub account authentication (OAuth). Users shall also comply with GitHub's Terms of Service and Privacy Policy.

The Company may refuse to approve or subsequently restrict use of the Service if it determines that any of the following applies to a User:

(1) False information was provided during registration;

(2) The User has previously violated these Terms; or

(3) The Company otherwise deems the use inappropriate.

Users are responsible for properly managing their GitHub accounts and access credentials for the Service.

All actions performed through a User's account—including AI agent executions, commits to repositories, and pull request creation—shall be deemed acts of that User.

Users shall immediately notify the Company upon discovering any unauthorized use of their account.

Output produced by the AI agents provided through the Service—including code, review comments, task breakdowns, and pull requests—is automatically generated based on AI technology. The Company does not guarantee its accuracy, completeness, safety, or fitness for any particular purpose.

Users shall review and verify AI agent output under their own responsibility before deploying it to production environments.

The Company shall not be liable for any damages arising from AI agent output, including but not limited to code defects, security vulnerabilities, and data corruption.

Users shall not engage in any of the following activities when using the Service:

(1) Acts that violate laws, regulations, or public order and morals;

(2) Using the Service to generate malware, exploit vulnerabilities, or otherwise threaten security;

(3) Placing excessive load on the Service's APIs or infrastructure, including intentional circumvention of rate limits;

(4) Unauthorized access to other Users' repositories, data, or personal information;

(5) Reverse engineering, decompiling, or disassembling the Service;

(6) Reselling or redistributing the Service without prior written consent from the Company; or

(7) Any other acts deemed inappropriate by the Company.

The Service is currently provided as a beta release. As a product under active development, the following events may occur without prior notice:

(1) Loss of all or part of stored data;

(2) Unscheduled suspension or interruption of the Service;

(3) Significant changes to or removal of features, specifications, or APIs; and

(4) Phasechain execution results that differ from expectations.

Users shall use the Service at their own risk, having understood and accepted the risks described above.

Users shall perform appropriate backups of their data under their own responsibility. The Company has no obligation to restore data.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." THE COMPANY MAKES NO WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

(1) WARRANTIES OF MERCHANTABILITY;

(2) WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE;

(3) WARRANTIES OF NON-INFRINGEMENT;

(4) WARRANTIES REGARDING THE AVAILABILITY, RELIABILITY, ACCURACY, COMPLETENESS, OR SECURITY OF THE SERVICE; AND

(5) WARRANTIES THAT AI AGENT OUTPUT WILL BE ACCURATE OR MEET ANY PARTICULAR QUALITY STANDARDS.

THE COMPANY DOES NOT WARRANT THAT THE SERVICE WILL OPERATE WITHOUT ERRORS OR INTERRUPTIONS, THAT DEFECTS IN THE SERVICE WILL BE CORRECTED, OR THAT THE SERVERS ON WHICH THE SERVICE IS PROVIDED ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY OF THE FOLLOWING DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE SERVICE, WHETHER OR NOT FORESEEABLE:

(1) INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES;

(2) LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, OR COSTS OF PROCURING SUBSTITUTE SERVICES; OR

(3) DAMAGES RESULTING FROM UNINTENDED CHANGES TO THE USER'S REPOSITORIES, CODE, OR SYSTEMS.

The Company's total aggregate liability relating to the Service shall not exceed the total fees actually paid by the User for the Service during the twelve (12) months preceding the event giving rise to the claim.

For Users on the free plan, the Company's maximum liability shall be ¥0 (zero yen).

The limitations of liability in this Article shall not apply to damages caused by the Company's willful misconduct or gross negligence.

The Company may suspend or interrupt all or part of the Service without prior notice to Users in any of the following cases:

(1) System maintenance or updates;

(2) Force majeure events such as earthquakes, fires, power outages, or natural disasters;

(3) Failures or outages of external services such as GitHub, AWS, or other third-party providers; or

(4) Other circumstances where the Company determines suspension is necessary.

The Company may terminate the Service in its entirety upon thirty (30) days' prior notice. In such cases, the Company will make reasonable efforts to provide Users with the means to export their data.

The Company may restrict usage or delete a User's account without prior notice if any of the following applies:

(1) The User has violated any provision of these Terms;

(2) False information in the registration is discovered;

(3) The User fails to respond to communications from the Company for thirty (30) or more days;

(4) The User has not used the Service for twelve (12) or more months; or

(5) The Company otherwise determines that continued use is inappropriate.

All copyrights, trademarks, and other intellectual property rights relating to the Service belong to the Company or third parties who have licensed them to the Company.

Intellectual property rights in output generated by AI agents through the Service (code, text, etc.) belong to the User to the extent permitted by applicable law.

The Company may amend these Terms without obtaining individual consent from Users in the following cases:

(1) The amendment is in the general interest of Users; or

(2) The amendment is reasonable.

When amending these Terms, the Company will notify Users of the changes and effective date at least fourteen (14) days prior to the effective date via the Service or email.

These Terms shall be governed by and construed in accordance with the laws of Japan.

Any disputes arising in connection with the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
